BEAMS Software Licence Agreement

Declaration

By installing or using BEAMS Software and any associated components and documentation ("BEAMS"), you acknowledge and agree to the terms and conditions outlined in this Licence Agreement. If you do not agree, do not install or use the software. This agreement is binding upon installation or use.

1. Parties

This Licence is made between Syntrac Pty Ltd ("Licensor") and You (the individual or school installing or using BEAMS). If installation occurs on behalf of a school, that school is also bound by this Licence.

2. Grant of Licence

The Licensor grants You a limited, non-exclusive, non-transferable licence to use BEAMS for school behaviour management purposes, subject to the following conditions:

• You may evaluate BEAMS for up to 30 days before registration and payment is required.
• Upon registration and payment, You are granted access to use BEAMS on an annual basis, subject to renewal and continued compliance with the terms of this Licence.
• If you are a school, Syntrac grants you the right to allow all individuals within your school to have the right to use BEAMS in the manner provided above.
• Trial versions may be distributed provided no fee is charged and the recipient agrees to the Licence terms.

3. Restrictions

You may not:

• Use BEAMS beyond the 30-day trial period without registration and payment.
• Modify, decompile, reverse engineer, or disassemble BEAMS.
• Loan, rent, lease, sublicense, or transfer BEAMS without written permission.
• Create derivative works or competing software based on BEAMS.
• Fail to comply with read-only access restrictions if the Licence is not renewed, including maintaining system access solely for the permitted 7-year read-only archival period.

4. Copyright and Ownership

BEAMS is the intellectual property of Syntrac Pty Ltd and is protected under Australian copyright law and international treaties. All rights not expressly granted are reserved by the Licensor.

5. Maintenance and Support

• Minor updates and bug fixes may be provided at the Licensor’s discretion.
• Registered users will receive access to support via the BEAMS website ( www.beam-edu.com/support.html ) and have unlimited access to support through email or Contact Us requests.
• Support services beyond general system usage or functional guidance may incur additional fees.
• The Licensor may release new versions under separate commercial terms.

6. User Responsibilities

You are responsible for:

• Ensuring all system requirements are met before use includes verifying that mobile devices run supported operating system versions, such as the latest iOS or Android releases, to guarantee optimal app performance and security. Additionally, it is important to confirm that PC and MacBook users have up-to-date browser versions—such as the current releases of Chrome, Firefox, Edge, or Safari—to ensure full compatibility with modern web standards and features. Staying current with these updates protects against security vulnerabilities as technology evolves.
• Safeguarding any passwords, licence keys, or codes provided by the Licensor.

7. Limited Warranty and Disclaimers

• BEAMS is provided "as is" without warranties of any kind, express or implied.
• The Licensor does not warrant that BEAMS will be error-free or meet all user requirements.
• You bear all risks as to the software's performance and quality.
• Liability is limited to the price paid for the software, at the Licensor’s discretion.
• The Licensor is not liable for indirect or consequential damages, including data loss, business interruption, or any other pecuniary loss arising out of the use or inability to use BEAMS, even if Syntrac has been advised of the possibility of such damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.

8. Termination

This Licence terminates automatically if You breach any terms. Upon termination or non-payment:

• Access to BEAMS may be restricted to read-only mode at the sole discretion of Syntrac Pty Ltd.
• You must uninstall BEAMS if instructed by Syntrac.

9. Export Restrictions

You agree not to export or re-export BEAMS in violation of any applicable Australian export laws or regulations.

10. Governing Law

This Licence is governed by the laws of the State of Victoria, Australia. Any disputes shall be resolved in the courts of Victoria.

11. Entire Agreement

This Licence supersedes all prior agreements or representations. If any clause is found unenforceable, the remaining provisions shall remain in effect.
